12.7 SUBCONTRACTING The Contractor shall not engage any Subcontractors for collection of Solid Waste, Recyclable Materials, or Green Waste without the prior written consent of the City. 12.8 BINDING ON SUCCESSORS The provisions of this Agreement shall inure to the benefit to and be binding on the successors and permitted assigns of the Parties. 12.9 TRANSITION TO THE NEXT CONTRACTOR One (1) year prior to the conclusion of the Term, and in order to assist with the competitive bid process to award the Franchise at the conclusion of the Term, the Contractor shall provide the City with such information as may reasonably be requested, including but not limited to route maps, account names and phone numbers, level of service provided. Failure to provide full cooperation may at the City's sole discretion preclude the Contractor from participating in the next competitive bid. 12.10 PARTIES IN INTEREST Nothing in this Agreement, whether express or implied, is intended to confer any rights on any persons other than the Parties to it and their representatives, successors and permitted assigns. 12.11 WAIVER The waiver by either party of any breach or violation of any provisions of this Agreement shall not be deemed to be a waiver of any breach or violation of any other provision nor of any subsequent breach of violation of the same or any other provision. The subsequent acceptance by either party of any monies which become due hereunder shall not be deemed to be a waiver of any preexisting or concurrent breach of violation by the other party of any provision of this Agreement 12,12 CONDEMNATION In addition to its rights under Article 11.8, the City fully reserves the rights to acquire the Contractor's property utilized in the performance of this Agreement, by purchase or through the exercise of its power of eminent domain. 7:~~~~n~~~.~ oa/ovoo Page SS of 59
