<br />MEMORANDUM OF UNDERSTANDING <br />BETWEEN THE CITY OF SAN LEANDRO, THE REDEVELOPMENT AGENCY OF <br />THE CITY OF SAN LEANDRO AND <br />KAISER FOUNDATION HOSPITALS <br /> <br />The CITY OF SAN LEANDRO, a municipal corporation of the State of California <br />(the "City"), the REDEVELOPMENT AGENCY OF THE CITY OF SAN LEANDRO, a <br />public body corporate and politic (the "Agency"), and KAISER FOUNDATION <br />HOSPITALS, a California nonprofit public b~q:efit corporation ("K, aiser"), enter ipt~is <br />Memorandum of Understanding as of this/ryh day of \ ).~t)l. , 2005 (the(,~10i/~ <br />"Agreement"). City and Agency are collectively referred to as the "City." Clty'~ <br />Kaiser may be collectively referred to as the "Parties." This Agreement is based upon <br />the following facts: <br /> <br />A. Kaiser owns real property located at 1701 Marina Boulevard, San <br />Leandro, California and known as APNs 77 A-547 -32, 77 A-547 -35, 77 A-547 -37, 77 A- <br />547-42, and 77 A-54 7 -45, consisting of approximately 52.95 acres, specifically depicted <br />in Exhibit A attached hereto and incorporated herein by this reference and any nearby <br />property acquired or controlled by Kaiser (the "Site") for the purposes of constructing a <br />state-of-the-art Kaiser Permanente Medical Center (the "Medical Center") on the Site. <br /> <br />B. The Medical Center will occupy approximately 35 to 45 acres of the Site <br />and will include a hospital, a hospital support building, medical offices and a central <br />utility plant. The foregoing is intended as a general and preliminary description and is <br />subject to changes and further modifications as conditions warrant and as permitted by <br />the EIR (defined below). <br /> <br />C. Approximately 20 to 25 acres of the Site will be devoted to retail <br />development (the "Retail Development" and together with the Medical Center, the <br />"Project"). Kaiser desires to cooperate with a retail partner (the "Retail Partner") in <br />connection with the Retail Development. <br /> <br />D. Due to the need to improve the availability and the quality of health care to <br />Kaiser Permanente members and the regional community, and in order to be in <br />compliance with deadlines for operability set forth in Senate Bill 1953 pertaining to <br />seismic safety, Kaiser desires to process the Project application for the entitlements as <br />soon as possible. Because of the large capital commitments, expenses and outlay for a <br />project of such magnitude, the timing and expedient processing of entitlements is <br />important to Kaiser. Kaiser desires that the City and its staff understands the importance <br />of the Project schedule and the need for efficient prioritization and allocation of staff <br />time and resources to avoid undue delay in the provision of health care to the <br />community. Kaiser understands that the entitlement process will undergo extensive <br />public review and comments, but desires that the processing of the Medical Center <br />application be granted administrative priority by the City of San Leandro. <br /> <br />City of San Leandro/Kaiser Foundation Hospitals MOU <br /> <br />9-5-06 <br />
