<br />NOW, THEREFORE, the parties hereto mutually agree as follows: <br /> <br />1. Development Team. The City will appoint a development team (the 'ICity <br />Development Team") with one identified team leader empowered to coordinate the <br />City's various departments in their interaction with the Kaiser development team (the <br />"Project Coordinator"). The City Development Team shall consist of Hanson Hom, <br />Community Development Director, Uche Udemezue, Engineering & Transportation <br />Director, Steve Hollister, Assistant City Manager, Debbie Pollart, Planning Manager, <br />Keith Cooke, Principal Engineer, Luke Sims, Business Development Manager, Kathleen <br />Livermore, Senior Planner, and Sally Barros, Planner II. From time to time, the <br />designated team leader may invite and appoint persons responsible for various subject <br />areas and the departments necessary to the entitlement process as well as an attorney <br />from the City Attorney's office to participate in the Development Team meetings with the <br />Kaiser team. Kaiser's development team will consist of Nora Klebow, Project Director, <br />John Pihl, Project Manager, and Indrajit Obeysekere, Legal/Entitlements Strategy. <br />Various internal Kaiser representatives will be included on the Kaiser team, such as <br />governmental affairs and outside architects and consultants. <br /> <br />2. Retail Partner. Upon Kaiser's finalization of the Retail Partner selection, Kaiser <br />will promptly disclose to the City the identity of the Retail Partner. The Retail Partner will <br />represent itself in negotiations with the City regarding the Retail Development, including <br />the retail mix, on-site traffic circulation, parking and phasing. Kaiser will represent the <br />Retail Partner's interests in the entitlement and project approval process and act as <br />Lead Developer in order to coordinate and expedite Project approval, and be <br />responsible for off-site traffic circulation and environmental remediation. The EIR will <br />separately evaluate the medical and retail impacts in discrete sections of the EI Rand <br />will propose separate mitigation measures for the retail and medical uses. In the event <br />Kaiser allows the Retail Partner to represent itself in said negotiations, the Retail <br />Partner may execute a memorandum of understanding with the Parties regarding the <br />Retail Development. <br /> <br />3. Entitlement Process. The Parties acknowledge that the entitlement process for <br />the development of the Medical Center shall occur in two phases, consisting of a pre- <br />application phase and an application phase. <br /> <br />3.1. Pre-Application Phase. The pre-application phase of the entitlement <br />process shall include the following: <br /> <br />3.1.1 Preliminary Development Plan. Kaiser and its retail partner agree to <br />provide a draft application and narrative project description and prepare a preliminary <br />master development plan showing square footages, building heights, general building <br />placement, parking and phasing for the Project.
