The City shall submit to LAV WMA's representative all invoices and/or other documentation evidencing costs incurred by the City for which the City is seeking reimbursement hereunder (the "Documents"). Upon receipt and review of the Documents and completion of the removal work, LAVWMA shall, no later than sixty (60) days from the completion of the removal work, issue a check to reimburse the City. 3. Liabilityand Indemnity. LAVWMA agrees to save, protect, indemnify, hold harmless and defend the City and its officials, officers, employees, agents and volunteers from and against any claim, loss, liability, damage, expense or cause of action arising out of any personal injury, bodily injury, loss of life, or damage to property, including any reasonable attorneys' fees, asserted against or suffered by the City resulting from the Plate, except to the extent caused by a third party or the willful misconduct or gross negligence of the City. 4. Designated Representatives. Term. The term of this Agreement shall commence upon the Effective Date and shall continue in full force and effect until LAVWMA has reimbursed the City for the Plate removal work as set forth in Section 2. 6. Notices. Any notices relating to this Agreement shall be given in writing and shall be deemed sufficiently given and served for all purposes when delivered personally, by facsimile or by generally recognized overnight courier service, or five (5) days after deposit in the United States mail, certified or registered, return receipt requested, with postage prepaid, addressed as follows:
