<br />"controlling percentage" means the ownership of, and the right to <br />vote, stock possessing at least 50y6 of the total combined voting <br />power of al classes of Tenant's capital stock issued, <br />outstanding, and entitled to vote for the election of directors. <br />This paragraph shall not apply to corporations the stock of which <br />is traded through an exchange or over the counter. <br />14..5 Processing ,Fees for Assignments, Transfers, Subleases and <br />Licenses <br />(a) A fee of Five Hundred Dollars ($500) shall be paid <br />to Landlord for processing each consent to <br />assignment, transfer, sublease or license <br />submitted to Landlord as required by this Lease. <br />This processing fee shall be deemed earned by <br />Landlord when paid and shall not be refundable. <br />(b) If a processing fee has .been paid by Tenant for <br />another phase of same transact-ion, a second fee <br />will not be charged. <br />(c) The amounts specified above for processing fees <br />shall be sutomaticaly adj~zsted at the end of the <br />frist year of this Lease and every year thereafter <br />in accordance with an annual fee schedule adopted <br />by Landlord. Landlord shall make said fee <br />schedule available to Tenant upon receiving a <br />request therefor. <br />14.6 Encumbrances <br />Tenant shall not encumber the leased premises in any <br />manner whatsoever. <br />-23- <br />
