LICENSE AGREEMENT (Masonic Temple Association of San Leandro) THIS LICENSE AGREEMENT (this "Agreement") is entered into as of ,•r ~ ~_, 2009 ("Effective Date") by and between the City of San Leandro, a municipal corporation ("City") and the Masonic Temple Association of San Leandro, a nonprofit association ("Licensee"). City and Licensee are hereafter referred to as the "Parties". RECITALS A. The City owns service/freight doors located in Joaquin Plaza and more particularly described in Exhibit A attached hereto ("License Area"). B. Licensee owns the building located at 116 W. Joaquin in San Leandro, California (the "Masonic Building"). C. The License Area provides the sole access to the elevator shaft of the Masonic Building. D. Licensee desires to use the License Area for the purpose of accessing the basement of the Masonic Building to maintain and repair the elevator that services the Masonic Building. E. City desires to grant Licensee a license to use the License Area in accordance with the teens and conditions set forth in this Agreement. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: 1. Grant of License. City grants to Licensee a revocable license to enter upon and use the License Area for the purposes and subject to the teens and conditions set forth in this Agreement. This grant of license shall not constitute a grant of property rights and shall be governed by the terms and conditions contained in this Agreement. 2. License Fee. Licensee shall pay City a fee of Fifty Dollars ($50.00) per year ("License Fee") for the use of the License Area. Payment of the License Fee shall be made to the Finance Office, City Hall, 835 East 14t~' Street, San Leandro, CA 94577, prior to January 1st of each year. The amount due for the year 2009 is Fifty Dollars ($50.00) which sum shall be payable to the City within ten (10) days following the Effective Date. There shall be no proration of any fee due pursuant to this Agreement. 3. Use of License Area. (a) Absent the written consent of the City, Licensee shall have the nonexclusive right to use the License Area solely and exclusively for the purpose of accessing the basement of the Masonic Building to maintain and repair the elevator that services the Masonic Building
