GRANT OF EASEMENT This GRANT OF EASEMENT (this "Easement") is made and entered into as of the day of May, 2010 by the City of San Leandro, California ("Grantor"), and Livermore Amador Valley Water Management Agency, a joint powers agency, dba LAVWMA, and its respective successors who agree to be bound by the obligations of this agreement (hereinafter collectively called "Grantee") and together referred to as "parties". RECITALS A. Grantor owns that certain real property identified by the Assessor Parcel Numbers 080G-0910-002-14 and 080G-1406-031 situated in the City of San Leandro, California, at Bay Trail Lands (the "Property") of the City of San Leandro. B. Grantee desires to obtain a non-exclusive permanent easement for the installation, maintenance, and use of sanitary sewer lines on a portion of the Property under the terms and conditions hereinafter set forth. NOW, THEREFORE, for good and valuable consideration and the mutual promises contained herein, receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Grant of Easement. Grantor hereby grants to Grantee a non-exclusive permanent easement (the "Easement") on a portion of the Property, as more particularly drawn and described in Exhibit A attached hereto and identified thereon as "Sanitary Sewer Easements Over the Lands of the City of San Leandro" (the "Easement Area") and more specifically described on Exhibits B and C, (legal descriptions for said properties) which are incorporated herein by reference In consideration for such grant of Easement, Grantee agrees to pay Grantor the sum of Fifteen Thousand Dollars ($15,000) and comply with all the terms and conditions set forth herein. The use of the Easement granted herein shall be limited to the installation, maintenance, and repair of sanitary sewer pipeline and appurtenances thereto, as more particularly described as follows: (a) Grantor grants to Grantee a non-exclusive permanent easement providing Grantee the right to install, maintain, repair, and replace below grade utility lines and appurtenances thereto and to use the ground surface of the Easement Area for all purposes necessary to install, maintain, repair, and replace in the Easement Area sanitary sewer equipment and appurtenances thereto, specifically below grade utility lines. After such installation, the Grantor may park vehicles on the Easement Area as needed to perform said work. (b) Grantee may install aboveground markers identifying the location of any underground improvements that are installed pursuant to this Easement. The location, type and installation of markers and identifying information on the markers shall be subject to the prior written approval of the City.
