"Friends of the Creek" means a nonprofit corporation operating under such name, and its <br /> successors. <br /> "License Agreement" means Exhibit "F" hereto; provided that in the event the Agency does <br /> not convey the Adjacent City Property to the City, the Agency will be substituted as a party in place <br /> of the City in the License Agreement. <br /> "Maximum (Construction) Agency Loan Amount" means an amount equal to the lesser <br /> of: (i) the Verified Parking Structure Expenditures, or (ii) One Million One Hundred Thousand <br /> Dollars ($1,100,000.00). <br /> "Minimum Office Improvements" means those improvements so designated in the Scope <br /> of Development. <br /> "Minimum Required Leases" means one or more executed leases, (a) each of which shall <br /> be: (i) for a term of not less than five (5) years; (ii) for gross building area of not less than one <br /> hundred fifty one thousand (151,000) square feet (as the footage under such executed lease[s] is <br /> aggregated); and (b) which shall provide for occupancy by such tenant[s] in Building "A" and <br /> Building "C," respectively, as designated in the Development Concept Plan. <br /> "Opening" means the lawful opening for business of a Conforming Restaurant Facility on <br /> the Property. <br /> "Outside Date" means November 2, 2000. Notwithstanding the setting forth of times for <br /> performance or any provision of this Agreement to contrary effect, and notwithstanding <br /> Section 10.04 of this Agreement, the Agency shall have the right, at its option (and without liability <br /> in connection therewith) to terminate this Agreement and any and all rights of the Developer in <br /> respect to the Property in the event the Developer has not satisfied all of the Conditions Precedent on <br /> or before the Outside Date. • <br /> "Parties" means the Developer and the Agency. <br /> "Project Documents" means the Developer Note, the Developer Deed of Trust, the License <br /> Agreement, and any other documents deemed by the Executive Director to be necessary or <br /> convenient for the implementation of this Agreement. <br /> "Purchase Price" means the sum of the Cash Amount, the Deferred Amount and, if retained <br /> by the Agency, the Conforming Restaurant Amount (as aggregated, Two Million Seven Hundred <br /> Sixty Three Thousand Four Hundred Twenty One Dollars ($2.763,421)). <br /> "Redevelopment Plan" means the Plaza Redevelopment Plan adopted by the City Council <br /> of the City of San Leandro, as amended. <br /> "Required Parking Structure" means a parking structure more fully described in the Scope <br /> of Development, and which shall consist of not less than sixty -five thousand five hundred (65,500) <br /> square feet gross building area and shall accommodate not less than two hundred thirty -two (232) <br /> vehicles (of which approximately one hundred sixteen (1 16) spaces shall be provided on the second <br /> level). <br /> "Restaurant Opening Deadline" means February 22, 2002. <br /> 5 <br /> DOCS0074604 I v4\24258.0002 <br />
