DRAFT <br />EXHIBIT A <br />SCOPE OF SERVICES <br />1. Serve as the City's bond market expert, including tax - exempt and taxable markets, <br />fixed -rate and variable rate markets, and provide on -going analysis of current and <br />upcoming trends and events in these and related areas. <br />2. Monitor outstanding debt portfolios, including providing recommendations related to <br />debt refunding and /or restructuring and providing status reports when requested <br />(monthly, quarterly, annually, depending on need). <br />3. Develop and recommend financing structuring options, including the preparation of <br />financing plans and analysis. <br />a. Review and analyze all available data and information. <br />b. Recommend bond structure. <br />c. Determine bonding capacity based on identifiable revenue stream, direct <br />any overlapping indebtedness, etc. <br />4. Coordinate and participate in all aspects of the bond issuance process, from creating <br />and maintaining a schedule, preparing solicitation /bidding documents, conducting <br />independent analysis of financing alternatives, reviewing all aspects of negotiated <br />pricings, monitoring performance of underwriting teams, to post- issuance analysis <br />and all tasks during the process. <br />a. Assist tax counsel in determining tax ramifications of final financing <br />structure. <br />b. Distribute documents to rating agencies and insurance providers. <br />c. Oversee the printing and mailing of the Official Statement. <br />d. Receive and disseminate information regarding Rating and Insurance. <br />e. Perform financial analysis and offer marketing advice regarding the <br />financing. <br />f. Oversee the mailing of the Notice to Bid and the Preliminary Official <br />Statement. <br />g. Review the Preliminary and Final Official Statement prepared by <br />Disclosure Counsel, for the issuance of bonds. <br />h. Oversee the bid opening and determine, on behalf of the City, the lowest <br />bid and oversee the award of the bond sale. <br />i. Review investment of bond proceeds and optimize arbitrage compliance, <br />in compliance with California law Section 53601 of the Government Code. <br />j. Oversee the bond closing on behalf of the City. <br />k.
