b. Acts or omissions that shall constitute a material breach by Contractor include but are <br />not limited to the following: <br />• Willful falsification of data supplied to County during the course of operations, <br />including but not limited to dispatch data, patient report data, Response Time data, <br />financial data, or falsification of any other data required under Agreement; <br />• Willful failure to maintain equipment in accordance with the requirements of this <br />Agreement; <br />• Willful attempts to intimidate or punish employees who participate in protected <br />concerted activities, or who form or join any professional associations; <br />• Chronic and persistent failure to require employees to conduct themselves in a <br />professional and courteous manner, and to present a professional appearance; <br />• Repeated failure to meet Response Time requirements after receiving notice of non- <br />compliance from the EMS Director; <br />• Failure to maintain required insurance; <br />• Willful and repeated refusal to respond to requests for FRALS Services into another <br />jurisdiction. <br />• Failure to timely obtain and maintain the necessary licensing and /or certification <br />required by law to provide Services; <br />16.2 Notice and Cure of Material Breach <br />a. County shall give Contractor written notice, return receipt requested, setting forth with <br />reasonable specificity the nature of a material breach. <br />b. Contractor shall have the right to cure the material breach within ten (10) calendar days <br />of receipt of notice. Within three (3) calendar days of receipt of a material breach notice, <br />Contractor shall deliver to County, in writing, a plan of action to cure the material <br />breach. <br />c. If the material breach, by its nature, cannot reasonably be cured within ten (10) calendar <br />days, Contractor may request additional time to complete cure of the breach. <br />16.3 County Remedies <br />a. County shall have the right to terminate this Agreement in addition to any other legal <br />remedy in the event of a material breach that is not cured within ten (10) calendar days <br />or additional time granted by County. <br />
