4.12.4 Cosi and Expense Records. SLIA shall maintain full and complete records of <br /> activities performed under this Agreement. Such records shall be open to inspection <br /> by the City, and shall be maintained for a minimum of four years after the <br /> termination of this Agreement. <br /> 4.12.5 Payment of Taxes. SLIA is responsible for paying, when due, all taxes, including <br /> income taxes, if any, including estimated taxes, incurred as a result of activities <br /> completed under this Agreement. On request, SLIA will provide City with proof of <br /> timely payment of any taxes. SLIA agrees to indemnify and defend City with <br /> counsel acceptable to the City for any claims, costs, losses, fees, penalties, interest or <br /> damages suffered by City resulting from SLIA's failure to comply with this <br /> provision. <br /> 4.12.6 Payment of Expenses. SLIA will be responsible for all expenses incurred in <br /> performing its Disbursement Duties under this Agreement. <br /> 4.12.7 Tools, Materials and Equipment. SLIA will supply all tools,materials and <br /> equipment required, if any,to perform the Disbursement Duties. <br /> 4.12.8 Compensation. SLIA agrees and understands that it shall receive no compensation <br /> for any of the Disbursement Duties or other obligations set forth in this Agreement. <br /> 5 City Responsibilities. <br /> 5.1 Administration. This Agreement shall be administered by the City Manager or his/her designee <br /> (referred to herein as"City") on behalf of the City. The City agrees to: <br /> 5.1.1 Coordinate the collection of the annual Assessment through an agreement <br /> with the County of Alameda; ensure the billing of those public or tax-exempt entities <br /> not billed through the County of Alameda property tax billing procedures; and monitor <br /> the payment process to obtain timely payment of Assessments by public entities and <br /> other tax-exempt District property owners; <br /> 5.1.2 Provide timely District property tax roll information to the County of Alameda <br /> Auditor-Controller in order to include the annual Assessment amounts on the County's <br /> property tax bills; <br /> 5.1.3 Provide general information to SLIA, the assessed property owners, and the public; <br /> 5.1.4 Direct the disbursement of collected Assessments to SLIA in accordance with this <br /> Agreement and the approved Annual Report and Budget; and <br /> 5.1.5 Perform other related tasks,as agreed to by the City. <br /> 5.2 Discrepancies and Assessment Disputes. The City may assist with the resolution of any <br /> discrepancies in individual Assessment amounts or calculations and has the authority to: <br /> -6 - <br />
