non-selling Parties of its offer to sell all or a part of its interest in Truck, a non-selling <br /> Party notifies the selling Party of its acceptance and pays to the selling Party the cost <br /> of the selling Party's ownership interest, then the selling Party's ownership interest <br /> shall thereby be acquired by said purchasing Party, and except as provided in Section <br /> 8.B of this Agreement, the rights and obligations of the selling Party under this <br /> Agreement shall terminate. <br /> (4) Sale of Truck if No Acceptance of Offer to Sell. If, within <br /> ninety (90) days of the date the selling Party notifies the non-selling Parties of its <br /> offer to sell all or a part of its interest in Truck, a non-selling Party does not notify <br /> the selling Party of its acceptance of said offer, then ACFD shall sell Truck pursuant <br /> to Section 3.C.5. of this Agreement. <br /> (5) Termination of Agreement on Sale of Truck. ACFD shall, <br /> within fifteen (15) days, publish notice in a public agency or fire department trade <br /> publication inviting sealed bids to purchase Truck. Such notice shall be posted once <br /> at least fifteen (15) days before the opening of the bids and shall summarize any <br /> terms and conditions of the proposed sale. At the time and place set in the notice for <br /> the sale, ACFD shall publicly open and examine all the bids. ACFD shall then declare <br /> which bids conform to all the terms and conditions of sale. From among those <br /> conforming bids, ACFD shall sell Truck to the highest bidder. Notwithstanding the <br /> procedures in this Section 3.C.5., any Party may, within five (5) business days of the <br /> conclusion of the public opening and examination of the bids, order that the Truck <br /> shall not be sold to the highest conforming bidder and that the notice inviting sealed <br /> bids shall be republished as provided above; however, each Party may only exercise <br /> such right one time. Within fifteen (15) days of selling Truck, ACFD shall distribute <br /> the proceeds of the sale to the Parties in proportion to their ownership interest in <br /> Truck on the date of sale. Upon the sale of Truck and the distribution of the <br /> proceeds of the sale, this Agreement shall automatically terminate. <br /> 4. Use of Truck. <br /> A. Generally. Truck shall be available to any Party when that Party <br /> desires the use of a Reserve Truck. Truck shall not be used by any Party as a First <br /> Line Truck. <br /> B. Priority of Use. When First Line Trucks in the jurisdiction of <br /> more than one Party are non-operational at the same time, Truck shall be used to <br /> replace the first such First Line Truck to become non-operational.
