18 SECTION 2: MASTER AGREEMENT TERMS AND CONDITIONS | 2014_0122 <br /> <br />12. IRREVOCABLE OFFER. In accordance with this Request for Proposal, and subject to all conditions thereof, the <br />undersigned agrees that its response to this RFP, or any part thereof, is an irrevocable offer for 180 days following the <br />submission deadline date unless stated otherwise in the RFP. It is understood and agreed that the response, or any <br />part thereof, when accepted by the appropriate department and State officials in writing, may become part of a legal <br />and binding Master Agreement between the undersigned vendor and the State of Minnesota. <br /> <br />13. MATERIAL DEVIATION. A responder shall be presumed to be in agreement with these terms and conditions unless it <br />takes specific exception to one or more of the conditions. Submission by the responder of its proposed language shall <br />not be viewed as an exception unless the responder specifically states in the response that its proposed changes are <br />intended to supersede the terms and conditions. <br /> <br /> RESPONDERS ARE CAUTIONED THAT BY TAKING ANY EXCEPTION THEY MAY BE MATERIALLY <br />DEVIATING FROM THE REQUEST FOR PROPOSAL. IF A RESPONDER MATERIALLY DEVIATES FROM THE <br />GENERAL TERMS, CONDITIONS AND INSTRUCTIONS OR THE WSCA-NASPO TERMS AND CONDITIONS <br />AND/OR SPECIFICATIONS, ITS RESPONSE MAY BE REJECTED. <br /> <br /> A material deviation is an exception to the Request for Proposal general or WSCA-NASPO terms and conditions <br />and/or specifications that: <br /> <br />a. gives the responder taking the exception a competitive advantage over other vendors; or, <br /> <br />b. gives the Lead State something significantly different from that which the Lead State requested. <br /> <br />14. NONRESPONSIVE RESPONSES. Responses that do not comply with the provisions in the RFP may be considered <br />nonresponsive and may be rejected. <br /> <br />15. NOTICES. If one party is required to give notice to the other under the Master Agreement, such notice shall be in <br />writing and shall be effective upon receipt. Delivery may be by certified United States mail or by hand, in which case a <br />signed receipt shall be obtained. A facsimile transmission shall constitute sufficient notice, provided the receipt of the <br />transmission is confirmed by the receiving party. Either party must notify the other of a change in address for <br />notification purposes. PRE-PROPOSAL MEETING. A pre-proposal meeting will be held for all interested responders to review any <br />concerns regarding this Request for Proposal. Attendance at this meeting is NOT MANDATORY, but is strongly <br />recommended. See Schedule of events for date and time. Responses are to be prepared and presented in the same sequential order as the <br />questions are presented in this document. Responses deviating from the request for proposal format and organization <br />may be removed from further consideration. Responses are expected to provide a straightforward and concise <br />description of the responder’s ability to meet the requirements. MARKETING MATERIALS WILL NOT BE ACCEPTED <br />AS A RESPONSE. <br /> <br />The response to this Request for Proposal (RFP) must be returned sealed. Sealed responses must be received in the <br />office of the Director of the Materials Management Division and time-stamped no later than the date and time <br />specified in the schedule of events, at which time the names of the vendors responding to this RFP will be read. Late <br />responses cannot be considered. The laws of Minn. Stat.
