<br />Consulting Services Agreement between City of San Leandro and 07/17/2017 <br /> <br />Strategic Products and Services, LLC for Cisco Phone System Upgrade Exhibit A – Page 9 of 12 <br />Phase III: Close-Out <br />Final project acceptance and hand-off regarding knowledge, operation and support of the deployed <br />solution. <br />• Sign-off acceptance criteria have been met. <br />• Provide administrative knowledge-transfer. <br />• Address all final punch list or outstanding items including questions, configurations and issues related <br />to the project. <br />• Complete and submit final project documentation. <br /> <br />Deliverables: <br />Final update and hand-off all project documentation including: <br />• As-built and Network Diagram <br />• Configurations <br />• System Credentials and Access Information <br /> <br />Provide City of San Leandro Question and Answer (Q&A) Knowledge Transfer session to review solution <br />including technical and administrative aspects. <br /> <br />SPS <br />• This Document defines the scope of the Services that SPS shall provide to City of San Leandro. <br />• SPS shall use a reasonably adequate number of qualified consultants with suitable training, education, <br />experience and skills to enable SPS to perform the services described in this agreement. <br />• SPS will ensure any approved subcontractors comply with reasonable policies, practices and <br />procedures of City of San Leandro applicable to City of San Leandro personnel, as disclosed from time to <br />time to SPS. This includes policies, practices and procedures relating to safety, security, data protection, <br />data processing, and confidentiality. <br />• At City of San Leandro’s request, SPS will remove and replace any Consultant that does not comply <br />with such policies, practices and procedures or this Agreement or any Statement of Work. SPS agrees to <br />use reasonable efforts to promptly resolve any good faith complaints by City of San Leandro or, as <br />applicable, a City of San Leandro client regarding any Consultant or otherwise concerning the value or <br />efficacy of any services. <br />• In the event City of San Leandro requests changes to personnel assigned by SPS, then SPS will be <br />allowed a schedule extension of Services of up to thirty (30) Business Days to make such personnel <br />changes. <br />• SPS requires a minimum of ten (10) business days from the execution of this agreement to begin <br />project. <br />• Services outside this scope of work will be governed by a change request process, and may result in <br />additional costs, which will be reasonable and customary and disclosed in writing in advance by SPS to <br />CITY OF SAN LEANDRO. These include service costs that are incurred for services beyond the scope of <br />this document; City of San Leandro’s failure to meet responsibilities specified in this document; Project <br />delays outside of the control of SPS. <br /> <br />304
