This section is <br />particularly important if City makes payment contingent on acceptance of deliverables. Determine the time <br />periods required for review and vendor remediation of deficiencies based on the nature of the deliverable.> <br />4.__ Acceptance Criteria: Upon City’s receipt of a Deliverable from VIP, City shall have _____ <br />business/calendar days to provide VIP with written notice (e-mail will suffice) either (i) approving <br />the Deliverable or (ii) rejecting the Deliverable and providing instructions to correct any <br />deficiencies (“Acceptance Period”). Upon receipt of the latter, VIP shall then have _____ <br />business/calendar days to correct any deficiencies in accordance with City’s instructions and to <br />resubmit the Deliverable to City, commencing a new Acceptance Period. If City fails to provide <br />VIP with written notice within any Acceptance Period, the applicable Deliverable will be deemed <br />accepted by City. <br /><If Deliverables are open-ended or otherwise not definable, please use the following language as an <br />alternative to the above:> <br />Throughout the SOW Term, VIP shall deliver to City such deliverables as City may from time to time require <br />in connection with each Service to be performed by VIP hereunder (the “Deliverables”). All Deliverables <br />shall be provided in the form and schedule to be determined by City and communicated to VIP in each <br />instance. Such Deliverables may include, without limitation, progress reports and related attachments (in <br />hard and/or soft copy) and periodic status meetings (either telephonically, WebEx or through other means <br />of communication). <br />5. COMPENSATION <br />5.1 Fees <br />In consideration of VIP’s full and complete performance of the Services, City shall pay to VIP the following <br />fees (“Fees”): <br /><In this section insert a discussion of the fees that the Vendor is to receive for its services.
