expressly granted to Landlord, bona fide community non-profit groups and the general public <br />pursuant to the terms hereof, no other parties shall have express or implied rights to the Premises <br />and Tenant shall have quiet use and enjoyment thereof. Any provision of this Lease to the <br />contrary notwithstanding, Tenant agrees that at all times during the Term of this Lease, the <br />roadway identified on Exhibit A as North Dike Road shall be and remain a public street, and <br />Tenant shall not limit or interfere with public access on, over or across North Dike Road, except <br />for such temporary, limited interference as may reasonably be required during Tenant's <br />construction of the Improvements and provided that through access is at all times available <br />notwithstanding such temporary interference. Following Tenant's completion of the <br />Improvements, Landlord shall be responsible for the maintenance and repair of North Dike Road <br />unless the maintenance or repair is necessitated by the acts or omissions of Tenant or its <br />employees, contractors, representatives or invitees, in which event Tenant shall be responsible <br />therefor. <br />Section 5.2.5 Competition by Tenant <br />During the Term neither Tenant nor any Affiliate of Tenant will, without Landlord's prior <br />written consent, which may be given or withheld in Landlord's sole and absolute discretion, <br />directly or indirectly, own a controlling interest in, lease, operate or control the operation of, or <br />permit any franchisee or licensee of Tenant or any Affiliate of Tenant to, directly or indirectly, <br />own a controlling interest in, lease, operate or control the operation of, any conference center, <br />hotel, resort, restaurant or other business operation or facility offering services or facilities <br />similar to any of those offered at the Facility and located, in whole or in part, within Alameda <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT <br />PAGE 30 <br />002574.0001\409817.4 <br />
