Operation ("Standard of Maintenance"). Tenant, at its own cost and expense, shall promptly <br />make all necessary repairs to keep the Premises and the Improvements in safe, clean, and sanitary <br />condition, provided however, that Tenant shall not be required to remove or otherwise remedy, in <br />accordance with Applicable Law, any Hazardous Materials existing on the Site as of the date of <br />delivery of possession of the Premises to Tenant. Tenant shall keep and maintain all portions of <br />the Premises, the Public Areas, the Site and the Improvements in a clean and orderly condition, <br />free of accumulation of dirt, rubbish, graffiti, weeds or other unsightly conditions. It is the <br />intention and agreement of the parties that, except as expressly provided elsewhere in this Lease, <br />Landlord will have no obligation or liability of any kind relating to, or in connection with, the <br />Premises, the Public Areas, the Site or the Improvements or the maintenance and repair thereof, <br />all such obligations being the responsibility of Tenant. Tenant's maintenance and repair <br />obligations shall include and extend to each and every part of the Premises, the Public Areas, the <br />Site and the Improvements, including, without limitation, structural and nonstructural portions, <br />interior and exterior portions, entrances, doors, windows, heating, ventilating and air <br />conditioning systems, plumbing, electrical, electronic, telecommunications, computer and other <br />systems and equipment, grounds, landscaping, paving and hardscape surfaces, all equipment, <br />fixtures and appurtenances related thereto, and the entire pilings and structural system supporting <br />that portion of the Premises, the Public Areas and Improvements extending over the water. The <br />foregoing to the contrary notwithstanding, (i) Tenant's obligation with regard to those portions of <br />the Improvements consisting of the public access walkways and roadways located outside of the <br />Premises shall be limited to maintaining such walkways and roadways in a clean and orderly <br />LEASE BETWEEN CITY OF SAN LEANDRO <br />AND SAN FRANCISCO BAY CONFERENCE RESORT <br />002574.0001\409817.4 <br />PAGE 37 <br />
