81-2 5124 <br />The Grantor is relying upon such representations and <br />covenants in entering into this Agreement, and shall have <br />the right to exercise review and approval of tenants and <br />uses on the Grantee Parcels pursuant to any powers that <br />may be conferred upon the Grantor pursuant hereto. <br />2. Grantor Approval <br />Grantee agrees for itself, successors and assigns that the <br />identities of proposed initial tenants of commercial areas <br />designated in the Master Site Plan shall be submitted to <br />Grantor's Executive Director, on a confidential basis, for <br />his approval prior to final execution of leases with said <br />tenants. In addition, Grantee (or its successors or <br />assigns as the case may be) shall submit such other <br />information regarding the nature of the business to be <br />carried out under the lease as may be reasonably required <br />by Grantor's Executive Director or his designee to <br />exercise his approval pursuant to this Section. <br />Within seven ( 7 ) days of receipt of the identity of a <br />proposed initial tenant and such other information as is <br />reasonably required by Grantor's Executive Director or his <br />designee, Grantor's Executive Director or his designee <br />shall either approve or reject the tenant. A rejection <br />shall be in writing and shall set forth the reasons <br />therefor. If not approved or rejected within the time set <br />forth herein, the tenant shall be deemed approved. <br />Grantor's Executive Director or his designee may reject a <br />tenant only on the grounds that the business to be <br />conducted pursuant to the lease is not compatible with the <br />redevelopment of the Site as a high quality commercial <br />shopping district in the downtown area of San Leandro. <br />Grantee may appeal any such rejection to Grantor for <br />decision. <br />3. Continuous Operation <br />Grantee agrees to include in all initial tenant leases <br />covenants that require continuous operation in all tenant <br />spaces. Such operating covenants may provide for the <br />sublease of tenant spaces by lessees whether or not such <br />lessees are unable or unwilling to maintain continuous <br />operation. Grantor's Executive Director may waive this <br />requirement as a condition of tenant approval if, in his <br />opinion, such waiver is in the best interests of Grantee <br />and Grantor. <br />
