agencies; <br />G. William Peluso may alter the schedule of restaurant hours of <br />operation and shall provide to the City a current schedule of restaurant <br />hours of operation; and <br />H. William Peluso may elect during the term of the personal services <br />agreement to cease restaurant operations, terminate the personal services <br />agreement, and vacate the Blue Dolphin facilities upon seven (7) days <br />written notice to the City. <br />5. Peluso may remove and dispose of all equipment at the Blue Dolphin <br />facility. <br />6. Upon execution of this Agreement, City shall pay to Peluso within five (5) <br />days Eighty Thousand dollars ($80,000). Peluso shall use this payment of Eighty <br />Thousand dollars ($80,000) to pay current arrearages to suppliers, employees, labor <br />unions, and state and federal taxing entities. <br />7. City shall repair any obvious defects in the roof of the Blue Dolphin facility. <br />Such repair shall be carried out in a manner which does not impact the use of the Blue <br />Dolphin facility as a restaurant. City shall have no other obligations to repair or maintain <br />any of the improvements upon the Blue Dolphin facility. City shall have complete and <br />absolute discretion in determining the need to make repairs to the Blue Dolphin facility. <br />Peluso shall have no greater maintenance obligation than routine maintenance and <br />cleaning. <br />8. Peluso shall execute the Quitclaim Deed, attached as Exhibit A and <br />Agreement to Terminate Lease, <br />Assign Rights and Quitclaim 5 <br />
