Exhibit C <br />ADDITIONAL TERMS <br />A. MAINTENANCE AND USE <br />1. Licensee shall maintain the License Area, the equipment located therein and the <br />immediate environs at all times in a neat, clean, litter-free, odor-free and sanitary condition. <br />2. Licensee shall maintain the License Area in neat, clean, sound and graffiti-free <br />condition at all times. Licensee shall promptly repair damage to its permitted facilities and <br />properties within the License Area, maintaining them in proper working order at all times. <br />3. No trash, refuse, or other hazardous or toxic materials shall be stored within <br />License Area. <br />4. At no time shall the licensed area or adjacent public mall area be used for display <br />of advertising materials, signs or goods. <br />5. All property of Licensee allowed in Exhibit B, with the exception of the <br />monument sign, shall be identified by a small sign affixed to the property or as near as possible <br />on Licensee's property nearby, as property of Licensee. Sign wording shall be approved in <br />writing by the City in order to ensure signs do not preclude use by the public as appropriate. <br />B. FEE <br />1. Licensee shall pay City an annual fee ("License Fee") for the use of the License <br />Area. The amount due for the year 2005 is Twenty-four Hundred Dollars ($2400) which sum <br />shall be payable to the City within ten (10) days following the Effective Date. <br />2. Every year, a 4% annual increase will apply effective January 1. <br />3. Payment of the License Fee shall be made to the Finance Department, City Hall, <br />835 East 14th Street, San Leandro, CA 94577, prior to January 15 annually. <br />4. There shall be no proration of any fee due pursuant to this Agreement. <br />C. LICENSEE TO PAY COSTS <br />Licensee shall be responsible for and shall pay all costs related to maintenance of the <br />Licensee Property on the License Area and the equipment located therein and the removal of <br />equipment, property and improvements from the License Area. If Licensee fails to perform any <br />of Licensee's maintenance, repair or other obligations hereunder, City shall have the right to do <br />so and to bill Licensee for the reasonable costs City incurs in connection therewith. Licensee <br />shall reimburse City for such expenses within 30 days following Licensee's receipt of City's <br />invoice therefor. <br />7 <br />
