Exhibit C ADDITIONAL TERMS A. MAINTENANCE AND USE 1. Licensee shall maintain the License Area, the equipment located therein and the immediate environs at all times in a neat, clean, litter-free, odor-free and sanitary condition. 2. Licensee shall maintain the License Area in neat, clean, sound and graffiti-free condition at all times. Licensee shall promptly repair damage to its permitted facilities and properties within the License Area, maintaining them in proper working order at all times. 3. No trash, refuse, or other hazardous or toxic materials shall be stored within License Area. 4. At no time shall the licensed area or adjacent public mall area be used for display of advertising materials, signs or goods. 5. All property of Licensee allowed in Exhibit B, with the exception of the monument sign, shall be identified by a small sign affixed to the property or as near as possible on Licensee's property nearby, as property of Licensee. Sign wording shall be approved in writing by the City in order to ensure signs do not preclude use by the public as appropriate. B. FEE 1. Licensee shall pay City an annual fee ("License Fee") for the use of the License Area. The amount due for the year 2005 is Twenty-four Hundred Dollars ($2400) which sum shall be payable to the City within ten (10) days following the Effective Date. 2. Every year, a 4% annual increase will apply effective January 1. 3. Payment of the License Fee shall be made to the Finance Department, City Hall, 835 East 14th Street, San Leandro, CA 94577, prior to January 15 annually. 4. There shall be no proration of any fee due pursuant to this Agreement. C. LICENSEE TO PAY COSTS Licensee shall be responsible for and shall pay all costs related to maintenance of the Licensee Property on the License Area and the equipment located therein and the removal of equipment, property and improvements from the License Area. If Licensee fails to perform any of Licensee's maintenance, repair or other obligations hereunder, City shall have the right to do so and to bill Licensee for the reasonable costs City incurs in connection therewith. Licensee shall reimburse City for such expenses within 30 days following Licensee's receipt of City's invoice therefor. 7
