Alameda County Congestion Management Agency <br />Alameda County Transportation Improvement Authority <br />Merger Implementation Plan <br />coupled with timing and logistical considerations. The Merger <br />Implementation Plan has been reduced to two major phases with the <br />consolidation of the independent organizations into a single operating <br />entity in the first phase and office space consolidation in the second. The <br />plan identifies several keys steps occurring at particular times. The <br />completion of these steps by the indicated timeline will be necessary to <br />reach the goal dates. If the Boards of Directors of ACTIA and CMA make <br />choices other than those anticipated in the plan, they may have an effect on <br />the timing or ultimate outcome. <br />Several fundamental assumptions evolved as the design of the plan <br />emerged. They are important for understanding the context of the <br />proposed merger. <br />With any major organizational change there is uncertainty in the <br />process. A complex merger such as this almost guarantees that a <br />precise course of action may not proceed exactly as predicted. <br />However, the Boards have clearly indicated their interest in the capital <br />projects and other activities of the agencies proceeding smoothly and <br />in a timely manner during the transition. The plan is intended to <br />minimize a negative impact on the continued successful <br />implementation of the capital projects for which each agency is <br />responsible. <br />A joint powers authority (JPA) is proposed to be formed as the service <br />organization, employing staff and executing the services required of <br />ACTIA and CMA. To enable a successful transition of the agencies, <br />their staff, programs and projects, the JPA should be developed and <br />approved by the member agencies and Boards of Directors by late July <br />2010, with the JPA going into start-up operations by September 1, <br />2010. <br />3. The ACTIA and CMA Boards are presumed to continue to exist for a <br />period of time because of statutory references to each Agency, but will <br />modify their organizational documents, with the requisite approvals, so <br />that their Boards are the same as the Board for the new JPA. ACTIA <br />and CMA will be members of the new JPA and it will fulfill their <br />purposes, projects and programs. The Alameda County <br />Transportation Agency (ACTA) may also join the new JPA or it may <br />remain separate and contract with the new JPA as it does with ACTIA <br />now. The Action Plan will not be significantly affected if this occurs. <br />4. The Citizen's Watchdog Committee for ACTIA would continue under <br />the new proposed JPA, serving in the same or similar role as they do <br />currently. <br />Management Partners, Inc. <br />
