EXHIBIT "D" <br /> SCOPE OF DEVELOPMENT <br /> I. SUMMARY <br /> • <br /> This document presents general requirements for the development of all improvements to be <br /> undertaken by the Developer under this Agreement. Development shall be consistent with and shall <br /> faithfully implement the Development Concept Plan and the Final Development Plan. <br /> The development to be undertaken by the Developer consists of the following components, as <br /> more particularly described below, all of which shall be concurrently developed as one phase: (a) the <br /> Minimum Office Improvements, (b) the Adjacent City Property Improvements, and (c) the <br /> Condominium Benefiting Improvements. The identification and description of each of these <br /> components shall be deemed to include: (i) the Development Concept Plan and each successively <br /> more detailed set of plans and drawings, (ii) the Specifications (attached as Attachment No. I hereto <br /> and incorporated herein by reference), and (iii) the payment of all fees and compliance with all <br /> conditions of approval (including without limitation mitigation measures imposed in connection with <br /> the environmental review process for this Agreement and the undertakings of Developer hereunder). <br /> II. DESCRIPTION OF DEVELOPMENT <br /> A. Basic Description of the Developer Improvements <br /> 1. Minimum Office Improvements. <br /> The Minimum Office Improvements consist of: (i) all grubbing, clearing, site <br /> preparation, grading and compaction required for the development of the Developer Improvements; <br /> (ii) three (3) multi -story office buildings consisting of not less than two hundred thousand (200,000) <br /> square feet gross building area; (iii) a plaza area including a fountain, (iv) the Required Parking <br /> Structure (which shall consist of not less than sixty -five thousand five hundred (65,500) square feet <br /> gross building area and shall accommodate not less than two hundred thirty -two (232) vehicles (of <br /> which approximately one hundred sixteen (1 16) spaces shall be provided on the second level), <br /> (v) surface parking for not less than four eighteen (418) cars (in addition to that parking provided by <br /> the Required Parking Structure; and (vi) installation and undergrounding of utilities and connection <br /> to existing facilities. <br /> 2. Adjacent City Property Improvements. <br /> The Adjacent City Property Improvements consist of: a paved meandering pedestrian <br /> pathway five (5) feet in width, thinning of existing trees and planting of at least thirty (30) 24 -inch <br /> box trees and groundcover and other planting materials, and the purchase and installation of outdoor <br /> furniture on the Adjacent City Property. <br /> The Condominium Benefiting Improvements <br /> The Condominium Benefiting Improvements are described in Section 4.03 of the <br /> Agreement. <br /> D -1 <br /> D00500746041 v4\24253.0002 <br />
